What you're agreeing to when you try Rose.

Effective August 21, 2026. These terms cover the invite-only Rose trial offered by NEUL Capital Holdings, LLC ("NEUL", "we"). If NEUL later provides Rose to your company under a signed agreement, that agreement replaces these terms.

1. The trial

• A trial lasts 30 days from the day your login is created, unless NEUL extends it. It includes a daily limit on the number of questions you can ask. NEUL may change the limits, extend, pause, or end a trial at its discretion, and will tell you when it does.
• The trial runs in NEUL's cloud on infrastructure NEUL operates. Your company's Rose is separated from every other company's by design; no other customer can reach your data, and Rose's answers to you are drawn from your company's data alone.
• You decide what data to hand her. Nothing is connected or uploaded until a person at your company does it. Connections are read-only and you can disconnect them yourself at any time.
• When a trial ends, Rose stops answering. Everything she learned is kept for 30 days so a converted account picks up where it left off; after that, or sooner on your request, it is deleted.

2. What Rose is, and is not

• Rose provides business intelligence and financial data analysis. Her output is generated by AI models and can be wrong. You review it; you do not rely on it blind.
• She is not a financial advisor, investment advisor, accountant, attorney, or tax professional, and nothing she says is financial, investment, legal, or tax advice. Decisions you make using her output are yours.
• Rose tells you when she is guessing and when she lacks data. Take her at her word about her own limits.

3. Your data

• You keep ownership of everything you provide: connected accounts, uploaded files, interview answers, and the corrections you teach her. NEUL's rights are limited to operating Rose for you.
• Rose learns from your company's data in two ways. First, as memory — facts and corrections stored for your company only and recalled in her answers to you. Second, as training material for your company's own model as it matures toward running on your hardware.
• NEUL does not use your company's data to train models offered to other customers without your written consent. Aggregate, de-identified usage measurements (how many questions, which features) are used to operate and improve the service.
• Where Rose calls a third-party AI provider, NEUL uses agreements that prohibit the provider from training on your content. Our privacy notice lists the providers.
• You can ask for a copy of your data or its deletion at any time by emailing adamm@neulcapitalholdings.com. Deletion is completed within 30 days.

4. Your responsibilities

• You confirm you have the right to connect or upload the data you give Rose, including any personal information about your employees or customers it contains.
• Your login is yours. Keep it to yourself; tell us if it is compromised. People you invite from your company get their own logins.
• Don't use Rose to break the law, to attempt to access other customers' data, or to probe or attack the service.

5. Confidentiality

Each side keeps the other's non-public information confidential and uses it only for the trial. For NEUL, that includes everything you hand Rose. For you, that includes non-public details of how Rose works that you learn during the trial.

6. Liability

The trial is provided free of charge and "as is." To the fullest extent permitted by law, NEUL disclaims implied warranties and is not liable for indirect, consequential, or lost-profit damages arising from the trial, and NEUL's total liability in connection with the trial is limited to one hundred US dollars. Nothing here limits liability that cannot be limited by law.

7. The rest

• These terms are governed by the laws of the State of Nebraska, without regard to conflict-of-law rules, and disputes are resolved in the state or federal courts located in Douglas County, Nebraska.
• NEUL may update these terms; material changes are sent to your account email and apply going forward.
